Pursuant to Clause 1 Article 13 of xem bóng đá trực tiếp vtv2 Charter of xem bóng đá trực tiếp vtv2 Association for Protection of xem bóng đá trực tiếp vtv2 Rights of Film and Television Films in Vietnam promulgated together with xem bóng đá trực tiếp vtv2 Decision 840/QD-BNV in 2021 stipulating as follows:

1. xem bóng đá trực tiếp vtv2 highest governing body of xem bóng đá trực tiếp vtv2 Association is xem bóng đá trực tiếp vtv2 Term General Congress or Extraordinary General Congress. xem bóng đá trực tiếp vtv2 term congress is held once every 5 (five) years. xem bóng đá trực tiếp vtv2 Extraordinary General Congress is convened when at least 2/3 (two thirds) of xem bóng đá trực tiếp vtv2 total number of Executive Board members or at least 1/2 (one-half) of xem bóng đá trực tiếp vtv2 total number of official members are requested.

2. Term General Congress and Extraordinary General Congress shall be held in xem bóng đá trực tiếp vtv2 form of a General Congress or a General Congress of Delegates. A plenary meeting or a congress of delegates is held when there are more than 1/2 (one-half) of xem bóng đá trực tiếp vtv2 official members or more than half (one-half) of xem bóng đá trực tiếp vtv2 official delegates are present.

Pursuant to Clause 3 Article 13 of xem bóng đá trực tiếp vtv2 Charter of xem bóng đá trực tiếp vtv2 Association for Protection of xem bóng đá trực tiếp vtv2 Rights of Film and Television Films in Vietnam promulgated together with xem bóng đá trực tiếp vtv2 Decision 840/QD-BNV in 2021 stipulating 06 tasks as follows:

- Discuss and approve xem bóng đá trực tiếp vtv2 final report of xem bóng đá trực tiếp vtv2 term; directions and tasks of xem bóng đá trực tiếp vtv2 new term of xem bóng đá trực tiếp vtv2 Association;

- Discuss and approve xem bóng đá trực tiếp vtv2 Association's Charter; Charter (amended, supplemented) of xem bóng đá trực tiếp vtv2 Association; name change, division, separation, merger, consolidation, dissolution of xem bóng đá trực tiếp vtv2 Association (if any);

- Discuss and comment on xem bóng đá trực tiếp vtv2 report on reviewing xem bóng đá trực tiếp vtv2 work of xem bóng đá trực tiếp vtv2 Executive Board and xem bóng đá trực tiếp vtv2 financial report of xem bóng đá trực tiếp vtv2 Association;

- Decide xem bóng đá trực tiếp vtv2 number and elect xem bóng đá trực tiếp vtv2 Executive Board, xem bóng đá trực tiếp vtv2 Association's Inspection Committee;

- Other contents (if any);

- Approve xem bóng đá trực tiếp vtv2 resolution of xem bóng đá trực tiếp vtv2 General Assembly.

Pursuant to Article 14 of xem bóng đá trực tiếp vtv2 Charter of xem bóng đá trực tiếp vtv2 Association for Protection of xem bóng đá trực tiếp vtv2 Rights of Film and Television Films in Vietnam promulgated together with xem bóng đá trực tiếp vtv2 Decision 840/QD-BNV in 2021 stipulating duties and powers of xem bóng đá trực tiếp vtv2 Executive Board of xem bóng đá trực tiếp vtv2 Congress of xem bóng đá trực tiếp vtv2 Vietnam Association for xem bóng đá trực tiếp vtv2 Protection of Film and Television Rights as follows:

1. xem bóng đá trực tiếp vtv2 Association's Executive Board is elected by xem bóng đá trực tiếp vtv2 General Assembly from among xem bóng đá trực tiếp vtv2 Association's members. xem bóng đá trực tiếp vtv2 number, structure and criteria of members of xem bóng đá trực tiếp vtv2 Executive Board shall be decided by xem bóng đá trực tiếp vtv2 General Meeting. xem bóng đá trực tiếp vtv2 term of xem bóng đá trực tiếp vtv2 Executive Board is xem bóng đá trực tiếp vtv2 same as xem bóng đá trực tiếp vtv2 term of xem bóng đá trực tiếp vtv2 General Meeting.

2. Duties and powers of xem bóng đá trực tiếp vtv2 Executive Board:

a) Organize, supervise and direct xem bóng đá trực tiếp vtv2 implementation of xem bóng đá trực tiếp vtv2 General Meeting's Resolutions, xem bóng đá trực tiếp vtv2 Association's Charter, and lead all activities of xem bóng đá trực tiếp vtv2 Association between xem bóng đá trực tiếp vtv2 two congresses;

b) Prepare and decide to convene xem bóng đá trực tiếp vtv2 General Meeting;

c) To decide on xem bóng đá trực tiếp vtv2 program, work plan and annual financial plan;

d) Decide xem bóng đá trực tiếp vtv2 organizational structure of xem bóng đá trực tiếp vtv2 Association's apparatus. To promulgate xem bóng đá trực tiếp vtv2 operating regulations of xem bóng đá trực tiếp vtv2 Executive Board and xem bóng đá trực tiếp vtv2 Standing Board; Regulations on management and use of finance and assets of xem bóng đá trực tiếp vtv2 Association; Regulations on management and use of xem bóng đá trực tiếp vtv2 Association's seal; Regulations on reward and discipline; other rules and regulations in xem bóng đá trực tiếp vtv2 internal activities of xem bóng đá trực tiếp vtv2 Association in accordance with xem bóng đá trực tiếp vtv2 provisions of xem bóng đá trực tiếp vtv2 Association's Charter and xem bóng đá trực tiếp vtv2 provisions of law.

d) Elect and dismiss xem bóng đá trực tiếp vtv2 President, Vice Presidents, General Secretary and members of xem bóng đá trực tiếp vtv2 Standing Board of xem bóng đá trực tiếp vtv2 Association; elect additional members of xem bóng đá trực tiếp vtv2 Executive Committee and xem bóng đá trực tiếp vtv2 Inspection Committee. xem bóng đá trực tiếp vtv2 number of additional elected Executive Board members must not exceed one third (one third) of xem bóng đá trực tiếp vtv2 number of Executive Board members decided by xem bóng đá trực tiếp vtv2 General Meeting.

e) To decide on commendation and discipline according to xem bóng đá trực tiếp vtv2 provisions of xem bóng đá trực tiếp vtv2 Association's Charter and xem bóng đá trực tiếp vtv2 provisions of law.

3. Operating principles of xem bóng đá trực tiếp vtv2 Executive Board:

a) xem bóng đá trực tiếp vtv2 Executive Board operates in accordance with xem bóng đá trực tiếp vtv2 Regulations of xem bóng đá trực tiếp vtv2 Executive Board, in compliance with xem bóng đá trực tiếp vtv2 provisions of law and xem bóng đá trực tiếp vtv2 Association's Charter;

b) xem bóng đá trực tiếp vtv2 Executive Board meets 02 (two) times a year, managed by xem bóng đá trực tiếp vtv2 President of xem bóng đá trực tiếp vtv2 Association or a person authorized in writing by xem bóng đá trực tiếp vtv2 President. xem bóng đá trực tiếp vtv2 Executive Board may hold an extraordinary meeting at xem bóng đá trực tiếp vtv2 request of xem bóng đá trực tiếp vtv2 Standing Board or more than 1/2 (one-half) of xem bóng đá trực tiếp vtv2 total number of Executive Board members at xem bóng đá trực tiếp vtv2 request;

c) Meetings of xem bóng đá trực tiếp vtv2 Executive Board are valid when more than 1/2 (one-half) of xem bóng đá trực tiếp vtv2 total number of Executive Board members attend xem bóng đá trực tiếp vtv2 meeting. xem bóng đá trực tiếp vtv2 Executive Board may vote by show of hands or secret ballot, xem bóng đá trực tiếp vtv2 regulation of xem bóng đá trực tiếp vtv2 voting form shall be decided by xem bóng đá trực tiếp vtv2 Executive Board;

d) Resolutions and decisions of xem bóng đá trực tiếp vtv2 Executive Board are approved when more than 1/2 (one-half) of xem bóng đá trực tiếp vtv2 total number of Executive Committee members attending xem bóng đá trực tiếp vtv2 meeting vote in favor;

dd) Meetings of xem bóng đá trực tiếp vtv2 Executive Board of xem bóng đá trực tiếp vtv2 Association must be recorded in minutes and kept at xem bóng đá trực tiếp vtv2 Association's Office

Pursuant to xem bóng đá trực tiếp vtv2 above provisions, xem bóng đá trực tiếp vtv2 duties and powers of xem bóng đá trực tiếp vtv2 Executive Board of xem bóng đá trực tiếp vtv2 Association are as follows:

- Organize, supervise and direct xem bóng đá trực tiếp vtv2 implementation of xem bóng đá trực tiếp vtv2 Resolution of xem bóng đá trực tiếp vtv2 Congress, xem bóng đá trực tiếp vtv2 Association's Charter, leading all activities of xem bóng đá trực tiếp vtv2 Association between xem bóng đá trực tiếp vtv2 two congresses;

- Prepare and decide to convene xem bóng đá trực tiếp vtv2 General Meeting;

- Decide on xem bóng đá trực tiếp vtv2 program, work plan and annual financial plan;

- Decide on xem bóng đá trực tiếp vtv2 organizational structure of xem bóng đá trực tiếp vtv2 Association's apparatus.
