1. What is e-contract?

According to Article 33 of trực tiếp bóng đá k+Luật xem bóng đá trực tiếp, e-contracts mean contracts established in trực tiếp bóng đá k+ form of data messages provided for in trực tiếp bóng đá k+Luật xem bóng đá trực tiếp.

*Regulations on entry into e-contracts

According to Article 36 of trực tiếp bóng đá k+Luật xem bóng đá trực tiếp, trực tiếp bóng đá k+ entry into e-contracts is as follows:

- Entry into e-contracts means trực tiếp bóng đá k+ use of data messages to execute part or whole of transactions in trực tiếp bóng đá k+ process of entering into contracts.

- In trực tiếp bóng đá k+ process of entering into contracts, unless otherwise agreed upon by concerned parties, an offer to enter into a contract and acceptance of trực tiếp bóng đá k+ offer to enter into trực tiếp bóng đá k+ contract may be carried out through data messages.

*Principles of entry into and execution of e-contracts

Principles of entry into and execution of e-contracts under Article 35 of trực tiếp bóng đá k+Luật xem bóng đá trực tiếpare as follows:

- Participating parties shall have trực tiếp bóng đá k+ right to reach agreement on trực tiếp bóng đá k+ use of electronic means in trực tiếp bóng đá k+ entry into and execution of contracts.

- trực tiếp bóng đá k+ entry into and execution of an e-contract shall comply with trực tiếp bóng đá k+ provisions of trực tiếp bóng đá k+Luật xem bóng đá trực tiếpand law on contracts.

- When entering into and executing e-contracts, trực tiếp bóng đá k+ parties shall have trực tiếp bóng đá k+ right to reach agreement on technical requirements, certification, conditions to ensure integrity and confidentiality related to such e-contracts.

Thus, trực tiếp bóng đá k+ transport business using trực tiếp bóng đá k+ form of entering into an electronic contract needs to comply with trực tiếp bóng đá k+ regulations and principles of concluding and performing trực tiếp bóng đá k+ electronic contract in accordance with trực tiếp bóng đá k+ above provisions.

2. What are trực tiếp bóng đá k+ requirements for use of electronic contracts by a transport business in Vietnam?

According to trực tiếp bóng đá k+ provisions of Article 16 ofNghị định 10/2020/NĐ-CP, trực tiếp bóng đá k+ transport business unit using trực tiếp bóng đá k+ form of entering into an electronic contract needs to ensure trực tiếp bóng đá k+ following requirements:

*For use of electronic contracts by a transport business

- trực tiếp bóng đá k+ interface of trực tiếp bóng đá k+ software provided for trực tiếp bóng đá k+ client or renter must show its full name or logo, trực tiếp bóng đá k+ emergency phone number and trực tiếp bóng đá k+ basic information as follows:

+ Information on trực tiếp bóng đá k+ contracting transport business, including its name, address, phone number, tax identification number and trực tiếp bóng đá k+ representative signing trực tiếp bóng đá k+ contract;

+ Information on trực tiếp bóng đá k+ driver, including full name and phone number;

+ Information on trực tiếp bóng đá k+ passengers or automobile renter (organization or individual), including name, phone number and tax identification (if any);

+ Information on trực tiếp bóng đá k+ automobile, including its registration plate number and payload;

+ Information on contract execution, including start and end of trực tiếp bóng đá k+ contract (date and time); addresses of first stop, last stop, pick-up points and drop-off points (or loading and unloading points) on trực tiếp bóng đá k+ journey; journey’s length (km); and number of passengers (or weight of cargo);

+ Information on trực tiếp bóng đá k+ contract’s value and payment method;

+ Regulations on responsibilities of contract parties for contract execution, which specifies fulfillment of tax obligations to trực tiếp bóng đá k+ state; rights and obligations of trực tiếp bóng đá k+ transporting party, passengers or trực tiếp bóng đá k+ renter; phone number for receipt and settlement of complaints and denunciations from passengers; commitment to contract execution and indemnity paid to trực tiếp bóng đá k+ renter and/or passengers.

- trực tiếp bóng đá k+ electronic invoice of each trip must be sent to trực tiếp bóng đá k+ account that trực tiếp bóng đá k+ client or renter uses to conclude trực tiếp bóng đá k+ contract and information on this invoice must be sent to trực tiếp bóng đá k+ tax authority according to regulations from trực tiếp bóng đá k+ Minister of Finance;

+ Electronic contracts shall be retained for at least 03 years.

*For drivers of commercial automobiles working under electronic contracts

When transporting passengers, besides bringing trực tiếp bóng đá k+ documents required by trực tiếp bóng đá k+Luật giao trực tiếp, drivers must:

- Bring trực tiếp bóng đá k+ physical transport contract signed by trực tiếp bóng đá k+ passenger automobile rental business; (1)

- Bring trực tiếp bóng đá k+ passenger list bearing a mark of confirmation from trực tiếp bóng đá k+ passenger automobile rental business; (2)

- If trực tiếp bóng đá k+ electronic contract is used, trực tiếp bóng đá k+ driver must be equipped with a device capable of accessing trực tiếp bóng đá k+ contract and enclosed passenger list provided by trực tiếp bóng đá k+ passenger automobile rental business; (3)

Note:Drivers serving funerals and weddings are exempt from trực tiếp bóng đá k+ regulations in (1), (2) and (3).

- When transporting tourists, drivers shall bring trực tiếp bóng đá k+ documents required by trực tiếp bóng đá k+Luật giao trực tiếpand comply with trực tiếp bóng đá k+ regulations in (1), (2) and (3).

- They shall provide information in electronic contracts for competent authorities upon request.

*For renters and passengers entering into electronic contracts

- They shall use devices capable of showing trực tiếp bóng đá k+ full contents of electronic contracts;

- They shall abide by regulations of laws when concluding electronic contracts with transport businesses.
