1. Abstract

This requires trực tiếp bóng đá hôm nay eurotrực tiếp bóng đá hôm nayto have strict regulations for this subject to create a favorable legal framework for trực tiếp bóng đá hôm nay euro activities of businesses in general and trực tiếp bóng đá hôm nay euro exercise of rights and obligations of legal representatives of businesses in particular.

However, trực tiếp bóng đá hôm nay euro regulations on legal representatives of businesses still have existing limitations and do not ensure trực tiếp bóng đá hôm nay euro legitimate rights and interests of legal representatives. Therefore, it is necessary to study and propose solutions to improve trực tiếp bóng đá hôm nay euro provisions of trực tiếp bóng đá hôm nay euro Law on Enterprises 2020 on legal representatives of businesses.

2. Limitations and shortcomings

Firstly, regarding authorization for others to exercise trực tiếp bóng đá hôm nay euro rights and obligations of legal representatives (Clause 3, Article 12 of trực tiếp bóng đá hôm nay euro Law on Enterprises of Vietnam)

trực tiếp bóng đá hôm nay euro Law on Enterprises 2020 states that: "An enterprise shall have at least one legal representative residing in Vietnam." to ensure trực tiếp bóng đá hôm nay euro presence of trực tiếp bóng đá hôm nay euro legal representative of trực tiếp bóng đá hôm nay euro company throughout trực tiếp bóng đá hôm nay euro investment and business activities of trực tiếp bóng đá hôm nay euro company.

However, trực tiếp bóng đá hôm nay euro Law on Enterprises 2020 still has an open provision: "Whenever this representative leaves Vietnam, he/she has to authorize another Vietnamese resident, in writing, to act as trực tiếp bóng đá hôm nay euro legal representative, in which case trực tiếp bóng đá hôm nay euro authorizing person is still responsible for trực tiếp bóng đá hôm nay euro authorized person’s performance." [2]. This provision facilitates trực tiếp bóng đá hôm nay euro operations of businesses when they no longer have a legal representative residing in Vietnam, allowing them to authorize others to exercise trực tiếp bóng đá hôm nay euro rights and obligations of trực tiếp bóng đá hôm nay euro legal representative. However, this provision still has trực tiếp bóng đá hôm nay euro following limitations:

First,there is no regulation on trực tiếp bóng đá hôm nay euro main content of trực tiếp bóng đá hôm nay euro authorization document.

Clause 3 of Article 12 of trực tiếp bóng đá hôm nay euro Law on Enterprises 2020 of Vietnam mentions that trực tiếp bóng đá hôm nay euro legal representative of trực tiếp bóng đá hôm nay euro business authorizes another individual residing in Vietnam to exercise trực tiếp bóng đá hôm nay euro rights and obligations of trực tiếp bóng đá hôm nay euro legal representative through a written document. However, trực tiếp bóng đá hôm nay euro regulation does not specify what information or main content should be included in trực tiếp bóng đá hôm nay euro authorization document. Therefore, it is impossible to determine trực tiếp bóng đá hôm nay euro scope of authorization and trực tiếp bóng đá hôm nay euro duration of authorization if trực tiếp bóng đá hôm nay euro authorization document does not record these essential contents. In trực tiếp bóng đá hôm nay euro event of a dispute between trực tiếp bóng đá hôm nay euro legal representative and trực tiếp bóng đá hôm nay euro authorized person regarding trực tiếp bóng đá hôm nay euro authorization issue, trực tiếp bóng đá hôm nay euro lack of recognition of trực tiếp bóng đá hôm nay euro scope of authorization will create difficulties in determining trực tiếp bóng đá hôm nay euro basis and evidence to resolve trực tiếp bóng đá hôm nay euro dispute.

Second, there are limitations in trực tiếp bóng đá hôm nay euro provision on trực tiếp bóng đá hôm nay euro responsibility of trực tiếp bóng đá hôm nay euro legal representative when trực tiếp bóng đá hôm nay euro authorized person exercises trực tiếp bóng đá hôm nay euro rights and obligations of trực tiếp bóng đá hôm nay euro legal representative.

Clause 3, Article 12 of trực tiếp bóng đá hôm nay euro Law on Enterprises 2020 states: "trực tiếp bóng đá hôm nay euro legal representative is still responsible for trực tiếp bóng đá hôm nay euro exercise of trực tiếp bóng đá hôm nay euro authorized rights and obligations." Thus, in all cases, trực tiếp bóng đá hôm nay euro legal representative is still responsible for trực tiếp bóng đá hôm nay euro actions of trực tiếp bóng đá hôm nay euro authorized person, even if those actions are beyond trực tiếp bóng đá hôm nay euro scope of trực tiếp bóng đá hôm nay euro authorized rights and obligations. According to trực tiếp bóng đá hôm nay euro author's assessment, this regulation is unreasonable, inappropriate, and contradictory to trực tiếp bóng đá hôm nay euro provisions of Article 143 of trực tiếp bóng đá hôm nay euro Civil Code 2015 regarding trực tiếp bóng đá hôm nay euro consequences of civil transactions established and performed by a representative beyond trực tiếp bóng đá hôm nay euro scope of representation.

Secondly, regarding trực tiếp bóng đá hôm nay euro legal representative of trực tiếp bóng đá hôm nay euro "two-member" limited liability company

Clause Article 12 of trực tiếp bóng đá hôm nay euro Law on Enterprises 2020 stipulates: "In a two-member limited liability company, if trực tiếp bóng đá hôm nay euro member who is trực tiếp bóng đá hôm nay euro company’s legal representative is dead, missing, facing criminal prosecution, kept in temporary detention, serving an imprisonment sentence, serving an administrative penalty in a correctional institution or rehabilitation center, making getaway; has limited legal capacity or is incapacitated, has difficulty controlling his/her own behaviors, is banned by trực tiếp bóng đá hôm nay euro court from holding certain positions or doing certain works, trực tiếp bóng đá hôm nay euro other member shall obviously assume trực tiếp bóng đá hôm nay euro position of trực tiếp bóng đá hôm nay euro company’s legal representative until trực tiếp bóng đá hôm nay euro Board of Members issues a new decision on trực tiếp bóng đá hôm nay euro company’s legal representative.".

Thus, "trực tiếp bóng đá hôm nay euro other member shall obviously assume trực tiếp bóng đá hôm nay euro position of trực tiếp bóng đá hôm nay euro company’s legal representative until trực tiếp bóng đá hôm nay euro Board of Members issues a new decision on trực tiếp bóng đá hôm nay euro company’s legal representative.".

However, according to trực tiếp bóng đá hôm nay euro provision in Clause 1, Article 12 of trực tiếp bóng đá hôm nay euro Law on Enterprise 2020: "trực tiếp bóng đá hôm nay euro enterprise’s legal representative is trực tiếp bóng đá hôm nay euro person that, on behalf of trực tiếp bóng đá hôm nay euro enterprise, exercises and performs trực tiếp bóng đá hôm nay euro rights and obligations derived from trực tiếp bóng đá hôm nay euro enterprise’s transactions...". Therefore, in trực tiếp bóng đá hôm nay euro case of trực tiếp bóng đá hôm nay euro other member being an organization, it is obvious that trực tiếp bóng đá hôm nay euro organization cannot act as trực tiếp bóng đá hôm nay euro legal representative of trực tiếp bóng đá hôm nay euro company. Thus, trực tiếp bóng đá hôm nay euro provision in Clause 6 of Article 12 of trực tiếp bóng đá hôm nay euro Law on Enterprise is impractical and cannot be implemented.

Thirdly, regarding trực tiếp bóng đá hôm nay euro case of a sole proprietorship with a missing legal representative

Clause 5 of Article 12 of trực tiếp bóng đá hôm nay euro Law on Enterprises 2020 stipulates: "In case trực tiếp bóng đá hôm nay euro only legal representative of an enterprise she is not present in Vietnam for more than 30 days without authorizing another person to act as trực tiếp bóng đá hôm nay euro enterprise’s legal representative, or is dead, missing, facing criminal prosecution, kept in temporary detention, serving an imprisonment sentence, serving an administrative penalty in a correctional institution or rehabilitation center, has limited legal capacity or is incapacitated, has difficulty controlling his/her own behaviors, is banned by trực tiếp bóng đá hôm nay euro court from holding certain positions or doing certain works, trực tiếp bóng đá hôm nay euro enterprise’s owner, Board of Members/Partners or Board of Directors shall appoint another legal representative".

As a result, it may lead to trực tiếp bóng đá hôm nay euro stagnation of investment, production, and business activities in sole proprietorships.

3. Proposal for improving regulations

Firstly,amend trực tiếp bóng đá hôm nay euro provisions in Clause 3, Article 12 of trực tiếp bóng đá hôm nay euro Law on Enterprises 2020

(i) Add Clause 3a to Article 12 of trực tiếp bóng đá hôm nay euro Law on Enterprises 2020 to regulate trực tiếp bóng đá hôm nay euro main content of trực tiếp bóng đá hôm nay euro authorization document for exercising trực tiếp bóng đá hôm nay euro rights and obligations of trực tiếp bóng đá hôm nay euro legal representative according to trực tiếp bóng đá hôm nay euro law, including mentioning trực tiếp bóng đá hôm nay euro content of trực tiếp bóng đá hôm nay euro authorization period, trực tiếp bóng đá hôm nay euro scope of authorized rights and obligations...

(ii) Amend trực tiếp bóng đá hôm nay euro content regarding trực tiếp bóng đá hôm nay euro responsibility of trực tiếp bóng đá hôm nay euro legal representative according to trực tiếp bóng đá hôm nay euro law when trực tiếp bóng đá hôm nay euro authorized person exercises trực tiếp bóng đá hôm nay euro rights and obligations of trực tiếp bóng đá hôm nay euro legal representative according to trực tiếp bóng đá hôm nay euro law. Propose amendments to Clause 3, Article 12 of trực tiếp bóng đá hôm nay euro Law on Enterprises towards implementing trực tiếp bóng đá hôm nay euro provisions of civil law regarding trực tiếp bóng đá hôm nay euro establishment of representative rights.

Clause 3, Article 12 of trực tiếp bóng đá hôm nay euro Law on Enterprises is rewritten as follows: "An enterprise shall have at least one legal representative residing in Vietnam. When there is only one representative in Vietnam, whenever this representative leaves Vietnam, he/she has to authorize another Vietnamese resident, in writing, to act as trực tiếp bóng đá hôm nay euro legal representative, in which case trực tiếp bóng đá hôm nay euro authorizing person is still responsible for trực tiếp bóng đá hôm nay euro authorized person’s performance.".

Secondly, improve trực tiếp bóng đá hôm nay euro regulations in Clause 5, Article 12 of trực tiếp bóng đá hôm nay euro Law on Enterprises 2020

Propose that lawmakers study, amend, and supplement trực tiếp bóng đá hôm nay euro provisions of trực tiếp bóng đá hôm nay euro Enterprise Law 2020 in general, and specifically Clause 5, Article 12 of trực tiếp bóng đá hôm nay euro Law on Enterprises 2020, regarding trực tiếp bóng đá hôm nay euro determination of a replacement person as trực tiếp bóng đá hôm nay euro legal representative according to trực tiếp bóng đá hôm nay euro law for exercising trực tiếp bóng đá hôm nay euro rights and obligations of trực tiếp bóng đá hôm nay euro legal representative according to trực tiếp bóng đá hôm nay euro law of sole proprietorships in case trực tiếp bóng đá hôm nay euro legal representative of trực tiếp bóng đá hôm nay euro sole proprietorship goes missing.

Thirdly, amend trực tiếp bóng đá hôm nay euro regulations in Clause 6, Article 12 of trực tiếp bóng đá hôm nay euro Law on Enterprises 2020

Propose adding trực tiếp bóng đá hôm nay euro phrase "as an individual" to ensure trực tiếp bóng đá hôm nay euro completeness and feasibility of trực tiếp bóng đá hôm nay euro Law, ensuring consistency with trực tiếp bóng đá hôm nay euro provisions in Clause 1, Article 12 of trực tiếp bóng đá hôm nay euro Law on Enterprises 2020 regarding trực tiếp bóng đá hôm nay euro determination of trực tiếp bóng đá hôm nay euro legal representative of trực tiếp bóng đá hôm nay euro business who is an individual.

Clause 6, Article 12 of trực tiếp bóng đá hôm nay euro Law on Enterprises 2020 is rewritten as follows: " In a two-member limited liability company, if trực tiếp bóng đá hôm nay euro member who is trực tiếp bóng đá hôm nay euro company’s legal representative is dead, missing, facing criminal prosecution, kept in temporary detention, serving an imprisonment sentence, serving an administrative penalty in a correctional institution or rehabilitation center, making getaway; has limited legal capacity or is incapacitated, has difficulty controlling his/her own behaviors, is banned by trực tiếp bóng đá hôm nay euro court from holding certain positions or doing certain works, trực tiếp bóng đá hôm nay euro other member shall obviously assume trực tiếp bóng đá hôm nay euro position of trực tiếp bóng đá hôm nay euro company’s legal representative until trực tiếp bóng đá hôm nay euro Board of Members issues a new decision on trực tiếp bóng đá hôm nay euro company’s legal representative".
